We are a Delaware corporation newly formed for the purpose of effecting a merger, asset acquisition, stock purchase, reorganization, recapitalization, or other similar business combination. In partnership with First Reserve, we intend to identify opportunities and companies that focus on solutions, processes, and technologies that facilitate, improve, or complement the ongoing energy transition toward a low- or no-carbon emitting future. Such opportunities are likely to include solutions to replace, extend the life, or improve the efficiencies of aging and outdated infrastructure, improvements to the traditional carbon-intensive industrial and energy complexes by making them cleaner and more sustainable, and support the energy transition by helping to grow renewable energy supply and support the electrification of businesses underpinning the global economy. We see a diverse group of what we view as attractive companies employing both incremental and disruptive processes, technologies, and applications impacting each component of the energy, infrastructure, and industrial value chains and believe that these solutions will be critical in reducing global greenhouse gas emissions and the negative impact that they have on the environment.
